Vous reconnaissez et acceptez qu\u2019Heartside a seule le droit exclusif d&#8217;effectuer toute op\u00e9ration de correction des erreurs, d\u2019h\u00e9bergement et de maintenance de quelque nature que ce soit sur l\u2019Application.&nbsp;&nbsp;&nbsp;<strong>Licence que vous nous conc\u00e9dez sur vos Contenus. <\/strong>Tous vos Contenus sont et restent votre propri\u00e9t\u00e9 exclusive. Vous nous accordez, ainsi qu&#8217;\u00e0 nos sous-traitants, une licence non exclusive, mondiale, pouvant faire l&#8217;objet d&#8217;une sous-licence et libre de redevance pour h\u00e9berger, mettre en cache, copier, afficher et modifier vos Contenus et y adosser un NFT aux fins et pendant la dur\u00e9e de votre Inscription. Ces Donn\u00e9es Personnelles sont n\u00e9cessaires \u00e0 la conclusion du Contrat et \u00e0 la fourniture des Fonctionnalit\u00e9s de notre Application. We cannot be held liable in the event of a malfunction of your device or suspension or termination of your internet access.<\/td><\/tr><\/tbody><\/table><\/figure>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>TERM \u2013 SUSPENSION \/ DELETION OF YOUR ACCOUNT<\/strong><\/p>\n\n\n\n<figure class=\"wp-block-table\"><table class=\"has-fixed-layout\"><tbody><tr><td><em><strong>Summary:<\/strong> We may take any appropriate action in the event of non-compliance with laws, the Terms of Use (TOU), our Terms of Sale (TOS), or any breach by one of our Partners.<\/em><\/td><td><strong>How long can you use the Application?<\/strong> Access to and use of the Application is granted for a minimum period of <strong>one (1) year<\/strong> from your first login (excluding Partner Offers, whose duration is defined on a case-by-case basis and communicated by the Partner). You may close your Personal Account at any time via the Application interface or by email, in which case we will send you a confirmation email. <strong>In what cases may we suspend your access or close your Personal Account?<\/strong><br>We reserve the right to suspend and\/or delete access to your Personal Account and\/or to all or part of the Application and its Features in the following cases, it being specified that the exercise of this right to suspend or remove access shall not engage our liability:<br>if, after a first warning sent by email, we find that you still do not comply with these <strong>Terms of Use (TOU)<\/strong> and\/or our <strong>Terms of Sale (TOS)<\/strong> and\/or the terms of any <strong>Partner Offer<\/strong> you benefit from;<br>if we receive a complaint about you reporting behaviour or a content published  that infringes the rights of a third party or these Terms of Use;<br>if the Partner from whom you subscribed to a Partner Offer fails to meet its obligations towards us, if the partnership is terminated, or if it expires\u00a0\u00a0<strong>Termination for convenience.<\/strong> If we discontinue the Application or significantly change its Features, we will notify you three (3) months in advance by email, while ensuring access at a consistent level for at least one (1) year from your first login (excluding Partner Offers). In such cases, you may choose whether or not to subscribe to a new offer. <strong>Consequences of account closure.<\/strong> Closing your Personal Account, regardless of the reason, will result in deactivation of your access and deletion of all associated Content. You grant us a licence over your Content.\u00a0<\/em><\/td><td><strong>Ownership of the Application.<\/strong> The Application, as well as all texts, logos, images, sound elements, software, icons, programs, algorithms, layouts, databases, graphic designs, videos, etc. contained therein (hereinafter the \u201c<strong>Elements<\/strong>\u201d), are protected by national and international intellectual property law.<br>The Application and its <strong>Elements<\/strong> remain the exclusive property of Heartside and\/or its partners.<br>You are strictly prohibited from reproducing, representing, adapting, translating, and\/or transforming, in whole or in part, and\/or transferring the <strong>Application<\/strong> and its <strong>Elements<\/strong>. Any breach of this prohibition may constitute an act of infringement, engaging your civil and criminal liability.\u00a0<strong>Licence granted to you.<\/strong> Subject to compliance with the <strong>TOU, TOS, and Partner terms<\/strong> (if applicable), we grant you a personal, non-exclusive, temporary, non-transferable, non-sublicensable licence to use the Application and its Features for private, personal use only on a compatible mobile device. Commercial use is strictly prohibited. <strong>Exclusivity.<\/strong> You acknowledge that Heartside has the exclusive right to perform any correction, hosting, or maintenance operations on the Application.\u00a0\u00a0\u00a0<strong>Licence you grant to us.<\/strong> Your Content remains your exclusive property. However, you grant us and our subcontractors a worldwide, non-exclusive, royalty-free, sublicensable licence to host, cache, copy, display, and modify your Content and associate it with an NFT for the purposes and duration of your registration. This includes the right to sublicense Content for service provision.\u00a0<strong>Content.<\/strong> You are solely responsible for your Content and you guarantee that:<br><strong>(i)<\/strong>your Content does not infringe any applicable law, any third-party rights, or the <strong>Terms of Use (TOU)<\/strong>;<br><strong>(ii)<\/strong>you hold all necessary rights to use your <strong>Content<\/strong> on the <strong>Application<\/strong>, to create <strong>Derived Content<\/strong>, to produce artwork in any form, and to grant us the licence you provide;<br><strong>(iii)<\/strong>you do not exceed any rights that may have been granted to you over all or part of your Content. <strong>Warranties \/ Indemnity.<\/strong> You agree to indemnify and hold harmless Heartside, its employees, successors, and assigns from any claim or expense related to your Content and to any alleged or actual infringement of any third-party rights.<br>You agree to bear all costs, including any financial penalties and settlement amounts related to the alleged infringement, as well as legal fees and all other legal expenses that may be incurred by Heartside, its agents, officers, employees, successors, and assigns.<\/td><\/tr><\/tbody><\/table><\/figure>\n\n\n\n<p class=\"wp-block-paragraph\"><strong><strong>RULES RELATING TO DERIVED CONTENT <\/strong><\/strong><\/p>\n\n\n\n<figure class=\"wp-block-table\"><table class=\"has-fixed-layout\"><tbody><tr><td><strong>Summary:<\/strong> The Application allows you to generate Derived Content. Subject to the rights of third parties, you retain ownership of the physical Derived Content created through the use of the Application.<\/td><td><strong>Derived Content.<\/strong> Subject to compliance with third-party rights and applicable laws, you retain ownership of the rights in the Derived Content you create through the Application.<br><strong>Licence granted to us over Derived Content.<\/strong> By generating Derived Content via our Application, you grant us a worldwide, non-exclusive, royalty-free, sublicensable and transferable licence to use, reproduce in any medium, and distribute your Derived Content. This licence is granted for the purposes of operating, promoting, and improving our Services. It also includes the right for Heartside to sublicense these rights to third parties for the technical operation of the Application and to reproduce and distribute the Derived Content in our communications, on our website, and in any physical or digital advertising material, whether known or unknown at this time.<br><strong>Digital ownership of Derived Content.<\/strong> Subject to third-party rights, you retain exclusive ownership of the Derived Content generated by the Application.
